Role Overview
We are seeking a highly motivated and commercially astute Legal Counsel to join our dynamic legal team. This role is ideal for a lawyer with approximately 4 years of post-qualification experience (PQE) who is looking to specialize at the intersection of corporate governance and data privacy within a fast-paced fintech environment.
You will play a critical role in ensuring the company’s corporate structure remains robust and compliant while safeguarding the business against data protection risks across multiple jurisdictions.
Key Responsibilities
1. Corporate Governance
Manage the full spectrum of corporate secretarial duties for the group’s entities across various jurisdictions, including board resolutions, shareholder meetings, and statutory filings.
Advise on inter-company arrangements and maintain the corporate group structure to ensure optimal legal and regulatory compliance.
Draft and review internal governance policies, terms of reference, and shareholder agreements.
Liaise with external counsel and company secretarial service providers to ensure global compliance.
2. Data Privacy
Serve as the primary legal advisor on all data privacy matters, ensuring compliance with applicable laws including GDPR, PIPL, CCPA, and other global privacy regimes relevant to cross-border payments.
Conduct Data Protection Impact Assessments (DPIAs) and privacy compliance audits for new products and third-party vendor integrations.
Draft, review, and update privacy policies, cookie policies, and data processing agreements (DPAs).
Advise on cross-border data transfer mechanisms and data localization requirements.
Handle data breach response procedures and notifications in coordination with the security team.
Qualifications & Experience
Education: Law degree (LL.B. or equivalent) and admission to practice law in a common law jurisdiction.
Experience: Approximately 4 years of PQE, ideally gained from a mix of top-tier law firm training and in-house experience (fintech or tech-focused companies preferred).
Corporate Law: Solid experience managing corporate entities and understanding of corporate governance best practices.
Data Privacy: Strong foundational knowledge of global data privacy laws (especially GDPR and familiarity with APAC frameworks). Relevant privacy certifications (e.g., CIPP/E, CIPM) are a strong plus.
Language: Fluency in English is mandatory (drafting and verbal). [Optional: Fluency in [Mandarin/another language] is advantageous due to the cross-border nature of the business].
Skills: Excellent commercial acumen, attention to detail, and the ability to translate complex legal concepts into actionable advice for business stakeholders.
