Our client is a leading business services firm with a strong presence in the Asia-Pacific region.
We are seeking a highly motivated and commercially savvy M&A Lawyer with a minimum of 3 years of post-qualification experience (PQE) gained at a reputable law firm. In this role, you will bridge the gap between legal precision and business strategy, managing the full lifecycle of transactions that span diverse jurisdictions in Asia-Pacific. You will work directly with senior stakeholders, external counsel, and global teams to execute complex deals.
Key Responsibilities
• Transaction Management: Manage and execute a variety of M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments across the APAC region.
• Due Diligence: Lead legal due diligence processes, identify key risks, and synthesize findings into actionable reports for internal business teams.
• Documentation: Draft, review, and negotiate a wide range of transaction documents, including SPAs, SHA, LOIs, and term sheets.
• Cross-Border Coordination: Instruct and manage external counsel across multiple APAC jurisdictions (e.g., Singapore, Hong Kong, Australia, China, India, Southeast Asia) to ensure seamless deal execution.
• Post-Merger Integration: Advise on post-closing integration matters, corporate governance, and compliance with local regulatory frameworks.
• Stakeholder Management: Partner with consulting teams and senior leadership to provide commercially viable legal solutions that align with business objectives.
Qualifications & Experience
• Education: Law degree (LL.B. or J.D.) from a recognized university.
• Qualification: Admitted to practice law in a common law jurisdiction (e.g., England & Wales, Hong Kong, Australia, Singapore, New York).
• Experience: Minimum 3 years of relevant M&A experience exclusively at a top-tier or reputable international law firm.
• Technical Skills:
o Strong foundational knowledge of corporate law and M&A transaction structures.
